Terms of Service

1. Acceptance

By accessing or using Spuutr's website (spuutr.com) or services, you agree to be bound by these Terms of Service. If you do not agree, do not use the services.

If you are using the services on behalf of an entity, you represent that you have authority to bind that entity. These terms use "you" to refer to both individuals and entities.

2. Service description

Spuutr provides AI agent team subscription services. We build, align, and operate multi-agent AI teams for busy people and businesses. Our services include:

• Pre-configured AI agent teams (Admin, Support, Marketing, Operations, Sales, Finance, and others) operating on your behalf
• Agent onboarding and pairing — a guided process where agents learn your workflows, communication patterns, and preferences
• Persistent memory across sessions for each agent
• Secure environment key storage (Bring Your Own Key) for connecting to third-party AI model providers
• A customer portal for managing your agent team, environment keys, and onboarding status

Spuutr is currently in beta. Access is limited to waitlist-invited users. Services, features, and pricing may change during the beta period.

3. Accounts & registration

3.1 Registration

Account registration requires authentication via a supported OAuth provider (Google, GitHub, or Microsoft). You must use accurate, current information. You are responsible for maintaining the confidentiality of your OAuth credentials and all activity under your account.

3.2 Registration is currently closed

General registration is not open. Access to the Spuutr platform is by waitlist invitation only during the beta phase. Joining the waitlist does not guarantee access or create any binding obligation on either party.

3.3 Account responsibilities

• You are responsible for all activity conducted under your account, including actions taken by your AI agent team
• You must ensure that any instructions or data you provide to your agents comply with applicable law
• You must notify us immediately at admin@spuutr.com if you suspect unauthorised access to your account
• We reserve the right to suspend or terminate accounts that violate these terms or applicable law

4. Waitlist & beta access

• No obligation: Joining the waitlist does not obligate you to purchase services, nor does it obligate us to provide access
• Beta use: If invited, you will use the service "as is" during the beta period. Feedback you provide may be used to improve the service
• No SLA: During beta, we provide no uptime guarantee, service level commitment, or support obligation beyond reasonable efforts
• Evolving terms: Service pricing, features, and these terms may change between beta and general availability. You will be notified of material changes

5. Bring Your Own Key (BYOK)

Spuutr supports Bring Your Own Key (BYOK) — you may supply your own API keys for third-party AI model providers (e.g., OpenAI, Anthropic, DeepSeek) via your portal.

• Encryption: Keys are encrypted at rest using AES-256-GCM. The plaintext value is never logged or exposed
• Your responsibility: You are responsible for managing your API keys, including usage limits, billing, and compliance with the terms of your provider agreements
• Provider terms: When BYOK is used, AI model inference routes through your provider accounts. Your use of those providers is governed by your direct agreement with them. Spuutr acts solely as the orchestration layer
• No liability: We are not responsible for charges incurred, service interruptions, or data handling practices of your chosen providers
• Revocation: You may remove or replace your keys at any time via the portal. Keys are deleted within 30 days of account deletion

6. Fees & payments

During the beta period, no fees are charged for access. Upon general availability:

• Subscription plans: We will offer tiered subscription plans (Starter, Business, Professional) with pricing to be announced
• Payment processing: Payments will be processed by Stripe or Wise. We do not store or process payment card details directly
• Billing: Subscriptions will be billed monthly or annually as elected. Fees are non-refundable except as required by law or as explicitly stated in our refund policy
• Changes: Pricing may change with 30 days notice. Continued use after a price change constitutes acceptance

7. Acceptable use

You agree not to use Spuutr for:

• Any unlawful purpose or in violation of any applicable law or regulation
• Generating, storing, or transmitting content that is illegal, defamatory, harassing, abusive, fraudulent, or harmful
• Infringing the intellectual property rights of others
• Attempting to probe, scan, or test the vulnerability of our systems without authorisation
• Attempting to circumvent access controls, rate limits, or security measures
• Using the service to compete with Spuutr or build a competing product
• Automated scraping of the website or portal beyond normal usage patterns

We reserve the right to investigate and take appropriate action for violations, including account suspension, termination, and reporting to authorities.

8. Intellectual property

8.1 Our IP

Spuutr's technology, software, agent configurations, branding, logos, and website content are our intellectual property or that of our licensors. You are granted a limited, non-exclusive, non-transferable right to use the service during your subscription. No ownership rights are transferred.

8.2 Your IP

You retain all rights to the data, content, and information you provide to Spuutr, including environment keys, business information, and communications. We do not claim ownership of your data. You grant us a limited license to process your data solely for the purpose of providing the service to you.

8.3 Agent outputs

Outputs generated by your AI agent team are provided to you. Due to the nature of AI systems, we cannot guarantee that outputs are original, accurate, or free from third-party intellectual property claims. You use agent outputs at your own risk and are responsible for reviewing them before use.

9. Confidentiality & data

Our Privacy Policy governs how we collect, use, and protect your personal data. Key points:

• We implement reasonable technical and organisational measures to protect your data
• We do not sell your personal data to third parties
• Environment keys are encrypted at rest (AES-256-GCM)
• Your agent memories are stored per-account and are not shared between accounts
• We may use aggregated, anonymised data for service improvement

10. Disclaimers

• Beta disclaimer: The service is provided "as is" and "as available" during the beta period, without warranty of any kind, express or implied
• AI limitations: AI agents may produce incorrect, incomplete, or unexpected outputs. The service is not a substitute for professional advice (legal, financial, medical, or otherwise). You remain responsible for your decisions and actions
• Availability: We do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications with reasonable notice
• Third-party services: We are not responsible for the availability, security, or data practices of third-party AI model providers or OAuth providers you choose to use
• No fiduciary duty: Spuutr and its agents operate at your direction. We do not assume any fiduciary or advisory role unless explicitly agreed in writing

11. Limitation of liability

• To the maximum extent permitted by Australian law: Spuutr, its operators, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service
• Cap on liability: Our total liability for any claim arising from or related to these terms or the service is limited to the fees you have paid to us in the 12 months preceding the claim, or AUD 100 if no fees have been paid
• Exclusions: Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law
• BYOK liability: We are not liable for any costs, damages, or claims arising from your use of third-party AI providers under a BYOK arrangement

12. Termination

• By you: You may terminate your account at any time by contacting admin@spuutr.com. Your data will be deleted within 90 days of termination, except as required for legal compliance
• By us: We may suspend or terminate your access for violation of these terms, illegal activity, or at our discretion with 30 days notice. We will make reasonable efforts to provide you with your data before termination
• Effect: Upon termination, your right to use the service ceases. Sections 8 (IP), 9 (Confidentiality), 10 (Disclaimers), 11 (Liability), and 14 (Governing Law) survive termination

13. Changes to these terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or through the service. Your continued use after the effective date of changes constitutes acceptance of the updated terms. If you do not agree, you must stop using the service and terminate your account.

14. Governing law

These terms are governed by the laws of Victoria, Australia. Any disputes arising from these terms or the service will be subject to the non-exclusive jurisdiction of the courts of Victoria, Australia.

Nothing in this section limits your rights under consumer protection laws in your jurisdiction (including the Australian Consumer Law) that cannot be contractually excluded.

For users in the European Union, nothing in these terms deprives you of the protection of mandatory consumer protection laws in your country of residence.

Informal dispute resolution: Before filing any claim, you agree to contact us at admin@spuutr.com and attempt to resolve the dispute informally for 30 days. If unresolved, you may pursue the matter in the applicable jurisdiction.
